By visiting our site and/or purchasing something from us, you engage in our Service and agree to be bound by the following terms and conditions ("Terms of Service," "Terms"), including any additional terms, conditions, and policies referenced here or available by hyperlink. These Terms apply to all users of the site, including without limitation browsers, vendors, customers, merchants, and contributors of content.

Our store is hosted by Shopify Inc., which provides the e-commerce platform that lets us sell our products and services to you.

We reserve the right to refuse Service to anyone, subject to applicable anti-discrimination law, including California's Unruh Civil Rights Act, which prohibits refusal of service based on sex, race, color, religion, ancestry, national origin, disability, medical condition, genetic information, marital status, sexual orientation, citizenship, primary language, or immigration status.

Payment card information is always encrypted during transfer.

We make every effort to display product colors and images accurately, but we cannot guarantee your monitor's display will be accurate.

We reserve the right, but have no obligation, to limit sales of our products or services to any person, geographic region, or jurisdiction, on a case-by-case basis, and to limit quantities of any products or services offered. Product descriptions and pricing are subject to change at any time without notice. We may discontinue any product at any time. Any offer for a product or service on this site is void where prohibited by law.

We do not warrant that products, services, information, or other material purchased or obtained through the Service will meet your expectations. California consumers may have non-waivable rights regarding product quality under the Song-Beverly Consumer Warranty Act; see Section 13.

SECTION 6 — ACCURACY OF BILLING AND ACCOUNT INFORMATION

We reserve the right to refuse any order. We may, in our discretion, limit or cancel quantities purchased per person, household, or order, including orders that appear to use the same account, payment card, or billing/shipping address. If we change or cancel an order, we may attempt to notify you using the contact information provided at the time of order. We reserve the right to limit or prohibit orders that, in our reasonable judgment, appear to be placed by dealers, resellers, or distributors.

You agree to provide current, complete, and accurate purchase and account information and to promptly update it, including your email address and payment information, so we can complete transactions and contact you as needed.

If you send us submissions (for example, contest entries, ideas, suggestions, or other materials, collectively "comments"), whether requested or not, you agree that we may edit, copy, publish, distribute, translate, and otherwise use your comments in any medium, without restriction. We have no obligation to (1) keep any comments confidential, (2) pay compensation for comments, or (3) respond to comments.

We may, but are not obligated to, monitor, edit, or remove content that we determine, in our reasonable discretion, to be unlawful, threatening, defamatory, obscene, or otherwise in violation of a party's intellectual property rights or these Terms.

Right to post honest reviews. Nothing in this Section restricts your right, under California Civil Code § 1670.8 (the California Consumer Review Fairness Act), to post truthful reviews or opinions about our products or Service. We will not penalize, or threaten to penalize, you for exercising that right.

You agree that your comments will not violate any third party's rights, including copyright, trademark, or privacy rights, and will not be unlawful, abusive, obscene, or contain viruses or malware. You may not impersonate another person or otherwise mislead us or third parties about the origin of any comments. You are solely responsible for your comments and their accuracy. We assume no liability for comments posted by you or any third party.

SECTION 10 — PRIVACY AND PERSONAL INFORMATION

In addition to other prohibitions in these Terms, you may not use the site or its content: (a) for any unlawful purpose; (b) to solicit others to perform or participate in unlawful acts; (c) to violate any federal, state, or local law or regulation; (d) to infringe our intellectual property rights or those of others; (e) to harass, abuse, defame, or discriminate based on a protected characteristic under applicable law, including the categories protected by California's Unruh Civil Rights Act; (f) to submit false or misleading information; (g) to upload viruses or malicious code; (h) to collect or track others' personal information without authorization; (i) to spam, phish, pretext, spider, crawl, or scrape the site; (j) for any obscene or unlawful purpose; or (k) to interfere with or circumvent the security features of the Service. We reserve the right to terminate your use of the Service for violating any prohibited use.

SECTION 13 — DISCLAIMER OF WARRANTIES; LIMITATION OF LIABILITY

We do not guarantee that your use of the Service will be uninterrupted, timely, secure, or error-free, or that results obtained from the Service will be accurate or reliable.

We may remove or suspend the Service for any period of time, or cancel it, without notice.

Your use of, or inability to use, the Service is at your own risk. The Service and all products delivered through it are provided "as is" and "as available," without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, except to the extent such warranties cannot be disclaimed under applicable law. For example, California's Song-Beverly Consumer Warranty Act may provide non-waivable implied warranties on consumer goods sold to California residents; to the extent such warranties apply and cannot be excluded, they are limited in duration to the shortest period permitted by law rather than disclaimed entirely.

Limitation of liability. To the fullest extent permitted by law, Us Standard Apparel, our directors, officers, employees, affiliates, agents, contractors, and suppliers are not liable for any indirect, incidental, punitive, special, or consequential damages, including lost profits, lost revenue, or lost data, arising from your use of the Service or any product obtained through it, whether based in contract, tort (including negligence), strict liability, or otherwise, even if advised of the possibility of such damages.

Nothing in these Terms limits or excludes liability that cannot lawfully be limited or excluded, including, under California Civil Code § 1668, liability for (a) fraud or intentional misrepresentation, (b) willful injury to person or property, (c) violation of law, whether willful or negligent, or (d) gross negligence. Because some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, our liability in those jurisdictions is limited to the maximum extent permitted by law.

SECTION 14 — INDEMNIFICATION

You agree to indemnify, defend, and hold harmless US Standard Apparel and our parent, subsidiaries, affiliates, partners, officers, directors, agents, contractors, licensors, service providers, and employees from any claim or demand, including reasonable attorneys' fees, made by any third party arising out of your breach of these Terms or your violation of any law or the rights of a third party. This indemnification obligation does not apply to the extent a claim arises from our own fraud, gross negligence, or willful misconduct.

SECTION 15 — SEVERABILITY

If any provision of these Terms is found unlawful, void, or unenforceable, that provision is enforceable to the fullest extent permitted by law, and the unenforceable portion is severed from these Terms without affecting the validity of the remaining provisions.

SECTION 16 — TERMINATION

Obligations and liabilities incurred before termination survive termination of these Terms.

These Terms remain effective until terminated by you or us. You may terminate at any time by discontinuing use of the site and notifying us that you no longer wish to use the Service.

If we determine, in our reasonable judgment, that you have failed to comply with any term of these Terms, we may terminate this agreement and deny you access to the Service, at any time, with notice where required by law. You remain liable for all amounts due through the date of termination.

SECTION 17 — DISPUTE RESOLUTION; ARBITRATION AGREEMENT; CLASS ACTION WAIVER

Please read this section carefully. It affects your legal rights, including your right to file a lawsuit in court.

Informal resolution first. Before filing a claim, you agree to contact us at info@usstandardapparel.com and attempt in good faith to resolve the dispute informally for at least 30 days.

Agreement to arbitrate. If a dispute is not resolved informally, you and US Standard Apparel agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service will be resolved by binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, rather than in court, except that either party may bring an individual claim in small claims court. This agreement to arbitrate is governed by the Federal Arbitration Act.

Class action waiver. You and US Standard Apparel agree that any arbitration or proceeding will be conducted only on an individual basis and not as a class, consolidated, or representative action. If a court or arbitrator determines this class action waiver is unenforceable as to a particular claim or remedy, that claim or remedy (and only that claim or remedy) must proceed in court, and all other claims remain subject to arbitration.

Right to opt out. You may opt out of this arbitration agreement by sending written notice to info@usstandardapparel.com within 30 days of first accepting these Terms, stating your name and a clear statement that you wish to opt out of arbitration. If you opt out, neither you nor we are bound by this Section 17, but the rest of these Terms still applies.

Exceptions. Nothing in this Section prevents either party from seeking injunctive or other equitable relief in court for infringement or misuse of intellectual property, or from bringing an individual claim in small claims court. This Section does not limit any non-waivable right you have under the CCPA/CPRA or other California consumer protection law to pursue a remedy through the California Attorney General or other public enforcement action.

SECTION 18 — ENTIRE AGREEMENT

Our failure to exercise or enforce any right or provision of these Terms is not a waiver of that right or provision.

These Terms, and any policies or operating rules we post on this site, constitute the entire agreement between you and us regarding the Service, superseding any prior agreements, communications, and proposals, whether oral or written (including prior versions of these Terms).

Any ambiguity in these Terms will not be construed against the drafting party.

SECTION 19 — GOVERNING LAW

These Terms and any dispute arising from your use of the Service are governed by the laws of the State of California, without regard to its conflict-of-law principles, except that the Federal Arbitration Act governs Section 17. Subject to Section 17, you agree that any claim not subject to arbitration will be brought exclusively in the state or federal courts located in California, and you consent to personal jurisdiction there.

Your continued use of or access to the website following the posting of changes constitutes acceptance of those changes, to the extent permitted by law. Where required by law, we will provide additional notice of material changes to California residents.
